Terms of Business for Companies

These Terms of Business (“Terms”) are between Expando World Limited (“Expando” or “We” or “Us” or “Our”) and any company, firm or organization (the “Company”) that engages individuals or entities assisting in lead generation (the “Experts”) on www.expando.app (“Lead Generation Marketplace” or “Marketplace”) for the purpose of being introduced to Sales Qualified Leads (“Leads”).
1. Application and Acceptance
1.1 These Terms shall apply each time the Company uses the Lead Generation Marketplace and shall prevail over any inconsistent terms or conditions contained, or referred to, in your standard terms of business or any other document supplied by You. In the event of any dispute between your standard terms of business and these Terms, these Terms shall prevail.
1.2 For the avoidance of doubt Expando is not acting as an employment agency. Expando provides an online Platform for Companies and Experts to meet and is not involved in the actual transaction between Companies and Experts.
2. Registration
2.1 In order to use the Lead Generation Marketplace, the Company must register with Us. We may accept or reject an application to register at our discretion and may suspend or cancel such registration at any time if a Company is in breach of these Terms.
3. Compensation Fee
3.1 The Compensation Fee is the amount set by a Company when posting a growth project, which is payable by the Company to Us upon the actual introduction of the Lead by the means defined in the growth project, usually by email.
3.2 The Company can amend the Compensation Fee of a posted growth project at any time, by increasing or decreasing the Compensation Fee. However, the amended Compensation Fee will only apply to Leads who are recommended thereafter. Leads who are already introduced in the growth project will not have their Compensation Fee amended, unless agreed upon otherwise.
3.3 Where a Lead is submitted via the Marketplace, is approved and successfully introduced. We will invoice the Company on the Lead introduction Date for the Compensation Fee.
3.4 The Compensation Fee is payable to Us within 30 days of the Introduction Date. If the Lead in question does not answer the introduction email, the Compensation Fee shall not be payable.
3.5 If any amount payable under these Terms is not paid in full and on time, Expando may charge a late fee of 5% of the relevant Compensation Fee per month.
4. Confidentiality and Data Protection
4.1 We process personal data (as defined in the Data Protection Laws) which We collect as a data controller (as defined in the Data Protection Laws) in the course of providing the Lead Generation Marketplace. Where data is processed by Us as a data controller, such processing is carried out in accordance with Our privacy policy which can be found on our Site and here: https://www.expando.world/privacy
4.2 In respect of personal data which is processed by Us as a data processor (as defined in the Data Protection Laws) on behalf of the Company and the Lead Generation as part of the Lead Generation Marketplace, We comply with all Data Protection Laws.
5. Company Account Termination
5.1 We may suspend the Company access to the Lead Generation Marketplace at any time, for any reason, and without warning, which may result in the forfeiture and destruction of all data and information associated with the Company’s Account on the Lead Generation Marketplace.
5.2 We may also terminate or suspend any and all Lead Generation Marketplace services and access to Our Site immediately, without prior notice or liability, if you breach any of the Terms of this Agreement. Upon termination of your Account, your right to use the Marketplace, access Our Site, and any content will immediately cease.
6. Limitations of Liability
6.1 In no circumstances shall We, or any party involved in creating, producing or delivering the Lead Generation Marketplace be liable to you or any third party for any loss or damages which are indirect, special, incidental or consequential, including, without limitation, damages for any lost profits, lost savings, loss of data, costs, fees or expenses of any kind or nature whether caused by tort (including negligence) breach of contract or otherwise that may arise out of or relate to the use of the Lead Generation Marketplace, even if foreseeable.
7. Promotion
7.1 Unless otherwise agreed in writing, by using Our Site and Lead Generation Marketplace all users give Us permission to disclose our business relationship to other parties to promote Our provenance. This includes your company name, logo, and testimonials.
8. Governing Law & Jurisdiction
8.1 These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region.
